Terms and Conditions.

SECTION 1 - PARTIES

All references to "KreadoAI," "we," "us," or "our" in this Agreement refer to KreadoAI. All references to "You" or "Your" refer to the person or entity executing this Agreement, hereinafter referred to as the "Affiliate." KreadoAI and the Affiliate may each be referred to as a "Party," and collectively as the "Parties." You agree to notify us in writing if your business name or account details change within 24 hours of such changes. Notifications should be sent to affiliate@kreadoai.com.

SECTION 2 - APPLICATION

By applying to the Affiliate Program, you agree to provide accurate and truthful information. KreadoAI reserves the right to approve or deny any application, and not all applicants may qualify. The application can be found at: [Affiliate Application Link].

SECTION 3 - CONSENT TO CONTACT

By applying, you consent to being contacted via email, phone, or social media about your Affiliate application and program updates. You agree that such contact may include automated systems, text messages, or prerecorded calls. This consent cannot be revoked except in writing by both parties.

SECTION 4 - COMPENSATION

1. Commission Rate: Affiliates earn 25% commission on monthly subscriptions, annual subscriptions, and One-off Payment purchases made by referred customers.

   • Monthly/Annual Subscriptions: Commissions are earned for a period of 12 months, starting from the first payment made by the referred customer.

   • One-off Payment: A one-time commission of 25% will be earned on single purchase products.

   • Cookie Duration: When a referred customer clicks on your unique Affiliate ID link, a cookie will be placed in their browser. If they make a purchase within 30 days of clicking your link, the sale will be attributed to you, and you will earn a commission for that sale.

   • Non-commissionable Products: Enterprise plans and certain product upgrades or downgrades will not earn commissions.

2. Payment Terms:

   • Commissions are paid monthly, starting when your accumulated commissions reach $50 USD or its equivalent in the payment currency.

   • Payments will be made in USD or in currency supported by KreadoAI's payment provider.

3. Commission Payment Processing:

   • Payments will be made via the chosen payment provider. Please be aware that some payment methods may incur processing fees, which will be deducted from the commission amount.

4. Affiliate Tracking:

   • The affiliate tracking system may be provided through a third-party service. By participating, you agree to comply with the terms of use of the affiliate tracking platform.

5. Commission Adjustments:

   • If a customer cancels their subscription, refunds, or issues chargebacks, commissions may be deducted from future payments. If the sale was obtained fraudulently, commissions will not be paid.

SECTION 5 - NON-COMMISSIONABLE BEHAVIORS

1. Self-Promotion:

   • Affiliates will not be paid commissions on sales made using their own affiliate link or for purchases made on their own account.

2. Paid Advertising Violations:

   • Affiliates may not bid on KreadoAI's branded keywords (e.g., KreadoAI,KreadoAI.com) in paid search ads on platforms such as Google and Bing.

   • Affiliates are required to set up negative keywords such as "KreadoAI," "KreadoAI.com," "Kreado AI," and "kreadoAI com" to prevent violations.

3. Malicious Traffic and Unsolicited Communications:

   • Affiliates may not engage in spamming, unsolicited emails, or direct messaging via social media platforms to solicit sales.

   • Any detected bot traffic or malicious activity that leads to a sale will result in the forfeiture of commissions and may lead to termination from the program.

SECTION 6 - TERM AND TERMINATION

1. Term:

   • The Agreement will commence when you click "I Accept" and will continue month-to-month until terminated by either Party.

2. Termination:

   • Either Party may terminate this Agreement at any time, with or without cause, by providing written notice.

     KreadoAI may terminate the Agreement if it suspects that you have violated any terms, engaged in fraud, or violated applicable laws.

3. Failure to Earn Commissions:

   • If no commissions are earned over a 12-month period, this Agreement will automatically terminate.

4. Post-Termination:

   • Following termination, you will immediately forfeit all unpaid commissions, bonuses, and any payments that would have been due in the future.

     Certain provisions, including liability limits and indemnity obligations, will survive termination.

SECTION 7 - PRIVACY AND DATA PROTECTION

KreadoAI respects your privacy and complies with applicable privacy laws, including but not limited to the General Data Protection Regulation (GDPR) if applicable. As an Affiliate, you must adhere to applicable data protection regulations in your jurisdiction. Any data shared between KreadoAI and the Affiliate, including but not limited to customer information, must be handled securely and in accordance with KreadoAI's privacy policy.

SECTION 8 - BRAND AND TRADEMARK USE

Affiliates may only use KreadoAI's trademarks, logos, and branding in accordance with the guidelines provided by KreadoAI. Unauthorized use of KreadoAI's intellectual property, including trademarks and logos, is prohibited.

SECTION 9 - NON-COMPETE

During the term of this Agreement and for a period of 12 months following its termination, you agree not to directly or indirectly promote competing products or services that could be seen as a direct substitute for KreadoAI's offerings.

SECTION 10 - PAYMENT DELAYS AND DEDUCTIONS

In the event that a payment is delayed due to circumstances beyond KreadoAI's control, the Affiliate agrees that no penalties or claims for damages will be made. Additionally, any refunds or chargebacks will be deducted from the Affiliate's future payments.

SECTION 11 - ADDITIONAL TERMS

If applicable, the Affiliate agrees to meet certain KPIs or sales targets set by KreadoAI as part of this Affiliate Agreement. These goals will be defined separately and will be binding as part of this Agreement.

SECTION 12 - FRAUD PREVENTION

If KreadoAI determines, in its sole discretion, that any sale was generated fraudulently or by circumventing this Agreement, KreadoAI reserves the right to withhold or reverse commissions and terminate the Affiliate's participation in the program without further compensation.

SECTION 13 - ENTIRE AGREEMENT

This Agreement, along with KreadoAI's standard Terms of Service, constitutes the entire agreement between the Parties and supersedes all prior discussions, representations, or agreements.
